Independent Contractor Terms and Commerce Participation

1. Overview

This Creator Agreement ("Agreement") governs your participation as a Creator on the Twiikle platform ("Platform"). By uploading content or participating in commerce features, you agree to the terms outlined below.

This Agreement supplements and is incorporated into the Twiikle Terms of Service. In the event of a conflict between this Agreement and the Terms of Service, this Agreement shall control with respect to Creator-specific matters.

Key Point: This Agreement applies the moment you upload your first video to Twiikle and become a Creator. Commerce-related sections apply only after you complete Commerce Creator onboarding.

2. Creator Status

2.1 Account Tiers

2.2 Automatic Upgrade

Your account is automatically upgraded from Viewer to Creator upon your first video upload. No application or approval process is required for basic Creator status.

2.3 Commerce Creator Onboarding

To participate in affiliate commerce and earn commissions, you must complete identity verification (KYC) through Stripe Connect. You must be at least 18 years of age to become a Commerce Creator.

2.4 Independent Contractor Status

You are an independent contractor, not an employee, agent, or partner of Twiikle. Nothing in this Agreement creates an employment relationship, joint venture, or partnership. Twiikle does not control when, where, or how you create content. You are solely responsible for your own equipment, workspace, and working conditions.

3. Content License

3.1 Ownership

You retain full ownership of all content you create and upload to Twiikle. This Agreement does not transfer any intellectual property rights from you to Twiikle.

By uploading content, you grant Twiikle a non-exclusive, worldwide, royalty-free license to:

The license granted above terminates when you delete the applicable content from Twiikle.

3.4 Wind-Down Period

90-Day Wind-Down: After you delete content, Twiikle may retain copies for up to 90 days solely for the purpose of clearing caches, CDN nodes, backup systems, and completing any pending commerce transactions associated with the content. Twiikle will not actively display deleted content during this period.

4. Commerce Participation

4.1 Affiliate Infrastructure

Twiikle manages all affiliate commerce infrastructure, including:

You do not need to maintain separate affiliate accounts with merchants. Twiikle handles all merchant relationships on your behalf.

4.2 Product Tagging

As a Commerce Creator, you may select products from the Twiikle Product Catalog and tag them in your videos. When a viewer watches your video and purchases a tagged product through the embedded affiliate link, you earn a commission.

4.3 Commission Confirmation

30-Day Confirmation Period: Commissions enter a 30-day confirmation window after a purchase is made. This period protects against refunds, chargebacks, and order cancellations. Only confirmed commissions become eligible for payout.

4.4 Minimum Payout Threshold

Confirmed commissions accumulate in your Creator balance. Payouts are issued once your balance reaches the minimum threshold of $10.00 USD. Balances below this threshold carry over to the next payout cycle.

5. Platform Fee

The Platform Fee is the portion of a Commission or of Series episode revenue allocated to Twiikle, subject to the channel-level caps in the Terms of Service (§5.0). See the Commission Schedule and the Creator Dashboard for the operative rates.

Rate Changes: The operative rates within these caps are set by Company policy and disclosed in the app or Creator Dashboard. Rates applicable to an attribution, referral, or transaction are fixed at the time specified in the Terms of Service (click, signup, or purchase) and are never modified retroactively. Changes to the channel-level caps require 30 days’ advance notice (ToS §5.3.2).

6. Reshare Revenue

When a Creator reshares (reposts) another Creator's video and a viewer purchases a tagged product through the reshared video, the commission is split as follows:

Where a purchase is attributed to a Reshare, the creator-side allocation (at least 75% of the Commission) is divided between the Original Creator and the Reposter. The operative division rates are set by Company policy, disclosed in the Creator Dashboard, and fixed at the time of attribution. A Creator may disable reshare revenue sharing, in which case the Creator retains the entire creator-side allocation.

Note: In every case — direct or reshared — the Company portion does not exceed 25% of the Commission (ToS §5.0/§5.3).

7. Prohibited Commerce Activities

The following activities are strictly prohibited and may result in immediate account suspension, forfeiture of unpaid commissions, and permanent ban:

Creators may not promote products from categories prohibited by Twiikle's Content Policy, including but not limited to: illegal substances, weapons, counterfeit goods, adult content, and regulated financial products. The full list of prohibited categories is maintained in the Terms of Service.

8. Termination

8.1 Voluntary Termination

You may terminate this Agreement at any time by deleting your Twiikle account. Account deletion can be initiated from your account settings.

8.2 Payout of Remaining Balance

60-Day Final Payout: Upon account deletion, any confirmed and unpaid commissions in your Creator balance will be paid out within 60 days to your last registered settlement method, provided the balance meets the minimum payout threshold ($10). Commissions still in the 30-day confirmation period at the time of account deletion will be processed through the confirmation window and included in the final payout if confirmed.

8.3 Fraud Exclusion

Commissions obtained through any prohibited activities described in Section 7 are excluded from payout. Twiikle reserves the right to withhold, reverse, or reclaim commissions reasonably determined to have been obtained through fraud or policy violations.

8.4 Platform-Initiated Termination

Twiikle may suspend or terminate your Creator status for material violations of this Agreement, the Terms of Service, or applicable law. Twiikle will provide notice and an opportunity to appeal except in cases of clear fraud or illegal activity requiring immediate action.

9. FTC Compliance

9.1 Automatic Affiliate Disclosures

Twiikle automatically adds clear and conspicuous affiliate disclosures to all videos containing product tags. These disclosures comply with the U.S. Federal Trade Commission (FTC) Endorsement Guides (16 CFR Part 255) and equivalent regulations in other jurisdictions.

9.2 Creator Obligations

Do Not Remove or Obscure Disclosures: You must not remove, hide, obscure, or otherwise interfere with the automatic affiliate disclosures applied by Twiikle. Attempts to circumvent disclosure requirements may result in immediate suspension of commerce privileges and potential legal liability.

9.3 Additional Disclosures

If you receive free products, sponsorships, or other compensation from brands outside of Twiikle's affiliate system, you are independently responsible for making appropriate disclosures in compliance with FTC guidelines and applicable local laws.

10. Tax Obligations

10.1 Creator Responsibility

As an independent contractor, you are solely responsible for reporting and paying all applicable taxes on income earned through Twiikle, including federal, state, local, and international taxes.

10.2 U.S. Tax Reporting

10.3 International Creators

Non-U.S. Creators are responsible for compliance with tax laws in their jurisdiction. Twiikle may require additional tax documentation (e.g., W-8BEN) depending on your country of residence and applicable tax treaties.

Twiikle does not provide tax, legal, or financial advice. You should consult a qualified tax professional regarding your specific obligations.
