This English-language Terms of Service is the governing version of the agreement between you and Twiikle, Inc. Translations into other languages (including Korean) are provided for convenience only. In the event of any conflict or inconsistency between the English version and any translated version, this English version shall prevail.

1. Introduction and Acceptance

1.1 About the Service

Twiikle (the "Service") is operated by Twiikle, Inc. (the "Company," "we," "us," or "our"), a Delaware C-Corporation. Twiikle is a shoppable short-form video platform where creators tag products in their videos and viewers can discover, save, and purchase those products.

1.2 Acceptance of Terms

These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you" or "your") and the Company. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

Anonymous Viewing Policy: The Company permits content viewing without account registration. Anonymous (unregistered) users may view content, browse Twiikles, and click affiliate links. However, the following features require account registration: liking, commenting, following, uploading, paid series episode purchases, Wiikle top-ups, and payouts. By launching or accessing the App, anonymous users are deemed to have agreed to these Terms and the Privacy Policy. Affiliate attribution lock for anonymous viewers is tracked via device ID + cookies and is automatically transferred to the registered account upon signup (see §5 Twiikle and Affiliate System).

URL Copying vs. Sharing Revenue for Anonymous Users: Anonymous users may copy and paste content URLs to external channels (e.g., messengers, social media). However, in-app sharing features (share sheet, send-to-friend, affiliate-tracked sharing) require login (sharer ID is required). Furthermore, affiliate sharing revenue (S2E commission) does not accrue or settle while the user is not logged in; revenue accumulation begins only from transactions occurring after signup and login. Transactions arising from URLs that anonymous users have manually pasted to external channels may be subject to the Company's affiliate revenue tracking, but such revenue is not attributed to any member account and is automatically processed as Viewer-Only revenue accruing to the Company (see §5.4.3 Distribution Policy Article 5).

"Affiliate Link"A trackable product link generated by the Company through its affiliate network partnerships (CJ Affiliate, Awin, Impact.com, etc.). When a Viewer clicks an Affiliate Link and makes a purchase, a Commission is generated.
"Product Catalog"The Company's integrated database of products available for tagging, sourced from multiple affiliate network partners. Creators select products from this catalog when tagging their videos.
"Commission"Revenue generated from a purchase conversion through an Affiliate Link. The Commission is received by the Company from the affiliate network and distributed to Creators after deducting the Platform Fee.
"Platform Fee"The progressive fee retained by the Company from Commissions as compensation for commerce infrastructure services (product catalog, link generation, tracking, settlement, analytics, AI product matching). The Platform Fee rate is determined by the Creator's monthly cumulative Commission amount. This is not a content licensing fee.
"Reshare"The act of reposting another Creator's Content within the Service, allowing the Reposter to earn a share of Commissions generated through their audience.
"Reposter"A user who Reshares another Creator's Content. The Reposter earns a portion of Commissions from sales generated through their Reshare, as defined in Section 5.4.
"Quick Collab"The Company's brand-to-Creator content marketplace feature, where brands commission Creators to produce Content for a fixed fee plus optional affiliate commissions.
"UGC License"A non-exclusive license granted by a Creator through the Company for a brand to use the Creator's Content in the brand's own marketing channels.
"MY PICK"The feature allowing Viewers to save products of interest for later purchase.
"KYC"Know Your Customer. Identity verification required to activate commerce features.

3. Accounts

Each account is assigned a unique handle (prefixed with "@") chosen by the user during onboarding.

Policy Changes: The handle change frequency and reservation period described above represent the Company's current policy and are subject to change as the Service grows. The Company may, at its sole discretion, impose stricter limitations on handle changes (including longer cooldown periods, additional verification requirements, or restrictions on verified/partner accounts) with reasonable prior notice to users. Such changes shall be communicated in accordance with Section 16 (Modifications to Terms). By using the Service, you acknowledge that handle policies may evolve over time.

4. Content Ownership and License ★

Twiikle Differentiator: Creator Ownership First

YouTube secures an unconditional "right to monetize" all content. TikTok requires a perpetual, irrevocable content license. Twiikle requests only the minimum license necessary for service operation, and the license terminates when you remove your content.

4.1 Your Ownership

You retain ownership of all Content you upload. Nothing in these Terms transfers ownership of your Content to the Company. You represent and warrant that you own or have obtained all necessary rights to the Content you upload.

4.2 License to Twiikle

By uploading Content to the Service, you grant the Company a:

When you delete your Content from the Service, this license terminates. However, copies may persist for up to 90 days for technical, legal, and safety reasons (caches, CDN, backups, dispute resolution, affiliate commission reconciliation), and reasonable use during this wind-down period is permitted.

4.3 No Derivative Works

The Company will not create derivative works from your Content. Technical processing required for service operation (thumbnail generation, resolution conversion, etc.) is not considered creation of derivative works.

4.4 Moral Rights

The Company respects your moral rights to the extent permitted by applicable law. We do not require you to waive your moral rights.

4.5 Marketing Use

If the Company wishes to use your Content in its own marketing materials (advertisements, promotions, social media), we will request your separate consent. Display within the Service (e.g., trending feeds, recommendations) is part of service operation and does not require separate consent.

4.6 Separation of Monetization Rights and Content License

The content license in this Section is limited to service operation purposes. Monetization through affiliate commerce (Section 5) is separate from this content license and occurs only when a Creator voluntarily tags products from the Product Catalog. The Company does not apply a blanket "right to monetize" clause like YouTube. The Platform Fee is compensation for commerce infrastructure services, not a content usage fee.

4.6.1 Affiliate Commission vs. Copyright Revenue: Legal Framework

For the avoidance of doubt, the Company and Creator acknowledge the following legal distinction:

Affiliate commissions are marketing referral fees paid by merchants for driving sales, not compensation for the use of copyrighted content. The Platform Fee retained by the Company is consideration for commerce infrastructure services (product catalog curation, link generation, tracking, settlement, analytics, AI product matching, and the Reshare network), and does not constitute a copyright royalty, licensing fee, or content usage fee of any kind.

Creator Guarantee: Your Copyright, Your Revenue

The Company's Platform Fee applies only to Commissions generated through the Product Catalog infrastructure that the Creator has voluntarily opted into by tagging products. The Company does not claim, license, or derive revenue from the Creator's copyright in their Content — only from the commerce infrastructure services it provides.

4.7 UGC Licensing (Content Licensing to Brands)

Creators may opt in to license their Content to brands through the Company's UGC Licensing program (Section 5.7). This is a separate, voluntary, opt-in agreement for each Content item and brand request:

5. Affiliate Commerce ★

5.1 Overview — Platform-Managed Affiliate Model

Twiikle operates a platform-managed affiliate commerce model. The Company registers as a publisher with major affiliate networks (CJ Affiliate, Awin, Impact.com, Rakuten, and others) and generates all Affiliate Links through these partnerships. Creators do not need to maintain their own affiliate accounts.

5.1.1 How It Works

  1. Product Selection: Creators browse the Product Catalog and select products relevant to their Content.
  2. Link Generation: The Company automatically generates tracked Affiliate Links for the selected products through its affiliate network partnerships.
  3. Viewer Purchase: When a Viewer clicks a product tag (Twiikle) and completes a purchase, the affiliate network records the Commission.
  4. Commission Distribution: The Company receives the Commission from the affiliate network, deducts the Platform Fee, and distributes the Creator's share.

Twiikle Differentiator: Zero Barrier to Commerce

Unlike platforms that require Creators to manage their own affiliate accounts, Twiikle handles all affiliate infrastructure. Creators simply select products — the Company handles everything else (link generation, tracking, commission collection, and payout).

5.1.2 Creator's Relationship with the Company

Creators using the affiliate commerce features are independent contractors, not employees of the Company. The Creator:

The Company applies a progressive (marginal) Platform Fee to Commissions, similar to a graduated tax bracket system. Higher-earning Creators pay a higher rate only on the portion of their earnings that exceeds each threshold.

5.3.1 How the Progressive Fee Works

The Platform Fee is calculated on a marginal basis. For example, a Creator earning $2,000 in monthly Commissions pays:

5.3.2 Fee Transparency

The progressive fee tiers reset on the 1st of each calendar month (UTC). Each month, the Creator's cumulative Commission starts at $0.

Twiikle Differentiator: Industry-Low, Transparent Fees

Twiikle's effective Platform Fee (5–16.75%) is significantly lower than industry peers: LTK (25–30%), Skimlinks (25%), YouTube Shopping (~30%). Unlike competitors, Twiikle's fee structure is fully public.

5.4 Reshare Revenue Distribution

When a Viewer purchases a product through a Reshared video, the Commission is distributed among three parties:

5.4.1 Revenue Share Toggle

Creators may control whether their Content participates in Reshare revenue sharing:

The toggle can be set per-video and changed at any time. Changes apply only to future Commissions.

5.4.2 Reshare Revenue — Legal Classification

Reshare revenue constitutes a performance-based referral fee, not a security or investment contract. Reposters actively participate by selecting and sharing Content to their audience. Both the Original Creator and the Reposter are independent contractors and are individually responsible for tax reporting on their respective earnings.

5.4.3 Affiliate Attribution Policy — Five Articles (Last-Touch + Post-Purchase Lock)

The Company applies the following five-article attribution policy to all affiliate revenue distribution. These articles apply identically to both Series Content and standard products (Twiikle product tags).

At the moment a viewer makes their first purchase of a given work or product, the active attribution at that instant becomes the permanent distribution standard. The Sharer, share ratio, and expiration are all permanently fixed at that point.

If a viewer clicks multiple Sharer links before their first purchase, the most recent (last) Sharer link clicked becomes the attribution baseline. This policy aligns with industry-standard affiliate models (e.g., Amazon Associates).

(Permanent Freeze After Purchase)
Once a first purchase has been made on a given work or product, no subsequent Sharer link click can alter the attribution. All follow-on purchases of the same work (e.g., next-episode purchases) follow the distribution policy locked in at the first purchase.
Article 4
(Expiration Voids Share Rights)
If the affiliate window (30 days for Series / 7 days for standard products) elapses after a Sharer link click and the viewer makes a purchase without clicking a new Sharer link, no Sharer distribution occurs. The portion that would have gone to a Sharer reverts to the Creator/Operator (after platform fee).

(Sharer Account Termination → Platform Forfeit)
★ IMPORTANT ★ If a Sharer terminates (deletes) their Twiikle account, all unpaid affiliate commissions and all future lock-in-based earnings accrued up to that point are automatically forfeited and become the property of Twiikle, Inc. The forfeited funds are used to operate the affiliate system, resolve disputes, and compensate viewers/operators as appropriate.

Article 5 — Additional Notice on Termination Forfeiture

The Company acknowledges that Article 5 has significant impact on Sharers (viewers, Creators, external promoters) and stipulates the following:

  • During the account deletion flow, any unpaid affiliate balance and this forfeiture clause are explicitly disclosed to the user.
  • Recovery of forfeited funds is not possible after termination. Sharers are advised to withdraw outstanding balances before deciding to terminate.
  • This clause also applies when the Company terminates an account for violations of these Terms.
  • This clause was not unilaterally imposed — it is a Sharer-acknowledged provision agreed to at signup, intended to secure a priority resource for resolving legal disputes.

5.4.4 Reference Translations — Article 5 Five Articles (Non-Governing)

The following translations of Section 5.4.3 are provided as a courtesy for users in non-English markets. The English version of these Terms of Service is the sole governing version and prevails over any translation in case of discrepancy or conflict in interpretation.

5.4.5 Series Episode Revenue Split (50:50 Fixed, Updated 2026-05-19) ★

  • 50% of all Series episode payment revenue is permanently guaranteed to the Creator (Series Operator), regardless of entry path (direct, affiliate referral, or peer referral).
  • The remaining 50% is allocated to Twiikle, Inc., from which the Company pays:
    • Affiliate Sharer: 50% × share_ratio (default 20% → 10% of revenue)
    • Buyer Cashback: 3% of revenue (self-purchases excluded)
    • Referrer Reward: 5% of revenue (when Creator Referral Program is active)
  • When no affiliate sharer is involved (direct entry), the Creator still receives 50%, and the Company retains 50%.
  • Important — Affiliate Activity is the Company's Marketing Activity: Affiliate-generated Series revenue is the result of Company marketing activity and is paid out from the Company's 50% share. The Creator's 50% remains unchanged, and the Creator may not claim additional distribution from affiliate revenue.
  • The prior Phase system (M0~M6: Creator 70% / Platform 30%; M11+: 50:50 gradual transition) is retired as of 2026-05-19 and unified into the fixed 50:50 policy. This change is intended to ensure Creator psychological stability, operational simplicity, and alignment with global market standards.
  • Self-Attribution Prevention (added 2026-05-20, migration 080): Viewers cannot register themselves as their own sharer (?ref=their-own-id). Additionally, Series Creators cannot register themselves as a sharer of their own Series. This prevents abuse where a Creator attempts to capture additional share_ratio distribution from their own revenue. The same anti-abuse principle as §5.13.3 (Self-Referral Prohibition) applies to affiliate attribution locks.

Market Positioning: Twiikle's 50% Creator share matches the global serial fiction standard (Tapas, Webnovel.com, Radish Fiction all 50:50). Compared to Korean market average actual Creator takeaway of 35~42% (KakaoPage, Naver Series, Joara, Lezhin), Twiikle is +8~26 percentage points more favorable to Creators. 5.10 Creator Protection Principles

Creator Protection Principles

The following principles govern the Company's affiliate commerce operations:

  1. Transparent Fees: Platform Fee rates are publicly disclosed and never applied retroactively. Any rate changes require 30 days' advance notice.
  2. No Forced Participation: Product tagging is voluntary. The Company will never automatically add Affiliate Links to Creator Content without the Creator's selection.
  3. No Algorithmic Penalty: Content with or without product tags receives equal algorithmic treatment. The Company will never reduce exposure of Content that lacks product tags.
  4. Earnings Always Paid: Legitimately earned and confirmed Commissions will be paid even upon account termination (Section 6.7).
  5. Non-Exclusivity: Creators may use competing platforms and maintain independent affiliate accounts with any network or brand.

5.11 Prohibited Conduct

The following conduct related to affiliate commerce is prohibited:

The Company is not the seller, manufacturer, or warrantor of any products linked through the Service. Product quality, safety, legality, and accuracy are the responsibility of the respective sellers and manufacturers. The Company makes no warranties regarding such products.

5.13 Creator Referral Program ★

The Service operates a one-tier Creator Referral Program (the "Referral Program") designed to support Creator acquisition. The following terms apply:

5.13.1 Structure (Model B)

5.13.2 Single-Tier (Anti-MLM)

The Referral Program is strictly one-tier. A Referee subsequently referring additional Users does not generate revenue for the original Referrer. This structure does not constitute a multi-level marketing (MLM) scheme under FTC criteria, as there is no hierarchical recruitment compensation.

5.13.3 Self-Referral Prohibition

Users may not refer themselves through any means, including but not limited to:

Violations result in immediate Referral Reward forfeiture and may trigger Account suspension under §3.5.

5.13.4 Disclosure Requirements (FTC)

Referral links contain automatic disclosure of the User's referral relationship. Where a Referrer publicly shares a referral link (social media, email, etc.), the User must include a clear and conspicuous disclosure such as "Referral link" or "Twiikle Referral" pursuant to FTC Endorsement Guidelines (16 CFR Part 255).

5.13.5 Eligibility Verification (5-Article Attribution Policy)

Referral Rewards are subject to the same eligibility framework as Sharer Commission (§5.4.3, "5-Article Attribution Policy"). Specifically:

5.13.6 Securities Law Compliance (Non-Investment)

Referral Rewards are characterized as a referral fee for promotional services, not as investment returns. The arrangement does not satisfy the Howey Test elements (no investment of money in a common enterprise with expectation of profits derived from the efforts of others) and is not subject to U.S. securities regulation.

5.13.7 Modification and Termination

The Company reserves the right to modify the Referral Program reward percentage, duration, or eligibility at any time, provided that existing Referrer-Referee relationships continue under the terms in effect at the time of Referee signup (no retroactive adjustment to active referrals).

5.13.8 Lock Period (Holding Period)

Referrer Rewards are held in pending status for a network-specific period before settlement, corresponding to the chargeback/return window of the source affiliate network:

Refunds occurring within the hold period automatically reverse the corresponding Referrer Reward.

5.13.9 Self-Purchase Monitoring

If a Referee's self-purchase activity exceeds 50% of their total purchase volume, the Company may flag the referral relationship for review as a potential abuse pattern. If abuse is confirmed, Referrer Rewards may be reclaimed and the referral relationship terminated.

5.14 Buyer Cashback in Wiikle ★

The Service operates a Buyer Cashback program (the "Cashback Program") that awards Wiikle, the Service's internal currency, to Users who complete affiliate purchases through the Platform.

5.14.1 Wiikle — Closed-Loop Internal Currency

5.14.3 Expiration (180 Days) and Lock Period

All cashback-issued Wiikle expire 180 days (6 months) after issuance. Expired Wiikle are automatically deducted from User's balance and not recoverable. Users will receive an expiration notice 30 days prior to expiration via in-app notification.

Twiikle direct refund policy: Refunds on Wiikle top-ups are permitted within 7 days for unused amounts only. Payment platform (Apple/Google) refund policies take precedence within their respective windows.

5.14.4 Self-Purchase Prohibition

Users may not earn cashback by purchasing through their own affiliate links. A purchase satisfies the self-purchase condition if the affiliate Sharer User ID equals the purchaser User ID. In such cases, cashback is automatically denied (database constraint enforced).

Purchases made by family members or friends through a User's affiliate link are not considered self-purchase. However, the Company reserves the right to investigate and revoke Cashback in cases of suspected coordinated abuse (e.g., same device + same payment card pattern).

5.14.5 Accounting Recognition

Issued Wiikle is recognized as a liability (Deferred Revenue) at the time of issuance and recognized as Revenue upon use (content purchase). Expired Wiikle is recognized as Breakage Revenue in accordance with applicable accounting standards (US GAAP ASC 606 / IFRS 15 / K-IFRS).

5.14.6 Tax and VAT Treatment

VAT/GST and consumption tax obligations on Wiikle-funded purchases are determined at the time of Wiikle redemption (not at issuance), consistent with OECD VAT/GST Guidelines on prepaid digital vouchers.

5.14.7 Modification and Termination

The Company reserves the right to modify the Cashback Program rate or expiration period at any time, provided that previously issued Wiikle remain valid under the terms in effect at the time of issuance (no retroactive reduction of earned Wiikle).

6. Payments and Settlement

6.3 Confirmation Period

A 30-day confirmation period applies after each affiliate purchase is verified. If the purchase is not refunded within this period, the commission is confirmed. Only confirmed commissions are eligible for payout.

  • USDC is a USD-pegged stablecoin issued by Circle Internet Financial, LLC.
  • The Company is not a bank, financial institution, or money transmitter. USDC settlements are processed through third-party service providers (Circle, Coinbase).
  • While USDC is designed to maintain a 1:1 peg with the US Dollar, de-pegging and other value fluctuation risks exist. The Company does not guarantee the value of USDC.
  • Blockchain network fees (gas fees) are borne by the Company (minimized via Base L2 network).
  • You must provide a compatible wallet address to receive USDC. USDC sent to an incorrect address cannot be recovered.
  • The Company may screen wallet addresses against OFAC (Office of Foreign Assets Control) sanctions lists. Transfers to sanctioned wallets will be refused.

6.6 Taxes

Twiikle Guarantee: Legitimate Earnings Will Always Be Paid

Legitimately earned and confirmed commissions will be paid out even upon account termination. The sole exception is revenue obtained through fraud or Terms violations, which the Company may withhold or recover.

6.8 Payout Eligibility by Country / Region ★

Affiliate revenue payout is available only to residents of countries and regions supported by the Company's payment partners (currently Stripe Connect, with PayPal and USDC integrations planned for Stage 2 and Stage 3). Users residing outside the supported regions may use Twiikle in Viewer-Only mode but cannot receive affiliate commission payouts.

6.8.2 Residence Country Verification

6.8.3 Effect on Affiliate Distribution (Cross-Reference §5.4.3)

If a Sharer is in Viewer-Only mode (or any non-payable status) at the time of commission settlement, the Sharer's portion is automatically forfeited and attributed to Twiikle, Inc., mirroring the Article 5 forfeiture mechanism in §5.4.3. This is not a punitive measure but a consequence of the Company's inability to legally remit funds to the user's jurisdiction.

6.8.4 Disclosure at Signup

When a new user's residence country is detected as Viewer-Only at signup, the Company displays a clear modal disclosure stating that affiliate revenue payouts are not available in their region. The user must affirmatively acknowledge this disclosure to proceed with account creation. Subsequent changes in payment partner support may upgrade the user's mode (e.g., Stage 2 PayPal integration may convert some Viewer-Only users to Creator-Limited).

6.8.5 Updates to the Supported Country List

The list of supported countries is governed by the Company's payment partners and is subject to change. The Company maintains an internal payout_country_config table reflecting current supported jurisdictions and updates it as Stripe Connect, PayPal, and USDC support expand or contract. Material changes will be communicated via Service notifications.

6.8.6 Residence Country Change Logging and Rate Limiting (added 2026-05-19)

Legal Basis for Country-Limited Payouts

The Company operates as a Delaware C-Corporation under U.S. federal law. Affiliate commission payouts are remitted through regulated payment partners (Stripe Connect, etc.) that comply with anti–money laundering (AML), know-your-customer (KYC), and Office of Foreign Assets Control (OFAC) sanctions requirements. The Company cannot remit payouts to residents of jurisdictions unsupported by these partners or sanctioned by the U.S. government. This restriction applies regardless of the user's nationality and is determined solely by their verified country of residence at the time of settlement.

6.9 Reference Translations — Payout Eligibility (Non-Governing)

7.1 Respect for Intellectual Property

The Company respects the intellectual property rights of others and expects users to do the same. You must not upload content to the Service without proper rights or authorization.

Principle: We Do Not Delete Content

Upon receiving a valid DMCA notification, the affected Content is made inaccessible to the public (set to private) but is not deleted from our servers. This satisfies the "disable access to" requirement of 17 U.S.C. §512(c).

7.5 No Content ID

The Company does not use automated content matching or fingerprinting systems (e.g., YouTube Content ID). All copyright claims must be submitted through the formal DMCA process described above. This prevents erroneous automated strikes against creators.

The Company reserves the right to implement content matching technology in the future, with a minimum of 90 days' advance notice.

7.6 Counter-Notification

Under 17 U.S.C. §512(g), uploaders of Content that has been made private due to a DMCA notification may submit a counter-notification.

14. Dispute Resolution

These Terms (including incorporated policies) constitute the entire agreement between you and the Company regarding use of the Service, superseding all prior written or oral agreements.
